Welcome to AI Minions ("we", "us", "our"). These Terms and Conditions ("Terms") govern your access to and use of the AI Minions AI‑Agent Builder and Marketplace platform (the "Platform"), including any content, functionality, services, software, and documentation offered on or through the Platform.

PLEASE READ THESE TERMS CAREFULLY. By creating an account, accessing, or using any part of the Platform, you agree to be bound by these Terms, our [Privacy Policy], and any other policies we publish (collectively, the "Agreement"). If you do not accept the Agreement, do not use the Platform.

1. Definitions

"Account" – The personal or organizational profile you create to access the Platform.
"Agent" – Any AI agent, model, tool, or workflow created, uploaded, or listed on the Platform.
"Builder" – A user who creates or uploads Agents.
"Buyer" – A user who licenses or purchases the right to use an Agent.
"Content" – All data, text, code, images, audio, video, and other materials uploaded, posted, transmitted, or otherwise made available via the Platform.
"Transaction" – Any purchase, license, subscription, or other exchange of value on the Marketplace.

2. Eligibility

You must be at least 18 years old and legally capable of entering into contracts to create an Account. By using the Platform on behalf of an entity, you represent that you have authority to bind that entity to these Terms.

3. Account Registration & Security

You agree to provide accurate, current, and complete information during registration and to keep it updated.
You are responsible for safeguarding your login credentials. Notify us immediately of any unauthorized use.
We may suspend or terminate your Account if we reasonably believe you violated the Agreement.

4. Platform Overview

The Builder Workspace allows you to develop, test, and host Agents using our tools or your own code.
The Marketplace enables Builders to list Agents and Buyers to license or purchase them under the licensing terms selected by the Builder ("Listing Terms").
We provide hosting infrastructure, payment facilitation, and discovery features. We do not own the Agents you create unless expressly agreed.

5. Builder Obligations

Compliance. Builders must ensure their Agents and Listings comply with applicable laws, third‑party rights, and our Acceptable Use Policy.
Performance & Safety. You are solely responsible for the accuracy, safety, and reliability of your Agents. You must disclose known limitations or risks.
Licensing. When you list an Agent, you grant us a non‑exclusive, worldwide license to host, copy, display, and distribute the Agent for the purpose of operating the Platform and marketing your Listing.
Support. Unless otherwise stated in your Listing Terms, you are responsible for maintaining and supporting your Agents.

6. Buyer Obligations

Buyers must review the Listing Terms before completing a Transaction.
Buyers receive a license to use the Agent subject to the Listing Terms and these Terms. All other rights are reserved by the Builder.
Buyers may not reverse‑engineer, resell, or sublicense an Agent unless expressly permitted.

7. Fees, Payments & Taxes

Marketplace Fees. We charge Builders a service fee on each Transaction. Current fee rates are displayed in the Builder dashboard and may change with 30 days’ notice.
Payment Processing. Payments are processed via third‑party providers. By transacting, you agree to their terms.
Payouts. Builder earnings are disbursed after deducting fees, taxes, chargebacks, and refunds.
Taxes. You are responsible for determining and paying any applicable taxes. We may withhold amounts to satisfy tax obligations where required.

8. Refunds & Chargebacks

Buyers may request a refund within 7 days of purchase if the Agent materially fails to function as described.
Refunds are granted at our discretion after investigating the claim. If granted, the associated license is revoked.
Builders are liable for chargebacks related to their Listings. We may offset chargeback amounts against future payouts.

9. Intellectual Property & Ownership

Your Content. Except for the license granted in Section 5.3, you retain all rights to your Content.
Platform IP. We retain all rights in the Platform, including software, branding, and documentation.
Feedback. Any suggestions you provide may be used by us without compensation or obligation.

10. Prohibited Activities

You agree not to:

Violate any law, regulation, or third‑party right.
Upload or distribute malware or malicious code.
Create or sell Agents that facilitate wrongdoing (e.g., scams, harassment, weapons development).
Circumvent security or usage limits.
Use the Platform to train or deploy models that reproduce copyrighted works without permission.

11. Privacy

Our collection, use, and sharing of personal data are governed by our [Privacy Policy]. Builders must obtain all necessary rights and consents to process personal data in their Agents.

12. Confidentiality

Information marked or reasonably understood as confidential must not be disclosed without consent, except as required by law.

13. Warranty Disclaimer

THE PLATFORM AND ALL AGENTS ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON‑INFRINGEMENT. YOUR USE IS AT YOUR OWN RISK.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER AI MINIONS NOR ITS DIRECTORS, EMPLOYEES, OR SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. OUR TOTAL LIABILITY FOR ALL CLAIMS IN ANY 12‑MONTH PERIOD WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THAT PERIOD OR (B) INR 25,000.

15. Indemnification

You agree to indemnify and hold harmless AI Minions and its affiliates from any claim arising out of (a) your Content or Agents; (b) your breach of the Agreement; or (c) your violation of any law or third‑party right.

16. Termination

You may stop using the Platform at any time.
We may suspend or terminate your Account (a) for breach of the Agreement; (b) to comply with law; or (c) if your use poses security, legal, or reputational risks.
Upon termination, Sections 9–18 survive.

17. Dispute Resolution & Governing Law

Governing Law. This Agreement is governed by the laws of India, without regard to conflict‑of‑law principles.
Informal Resolution. Contact us first at legal@ai‑minions.io to resolve any dispute informally.
Arbitration. If unresolved within 30 days, disputes are subject to binding arbitration under the Arbitration and Conciliation Act, 1996 in New Delhi, conducted in English.
Exceptions. Either party may seek injunctive relief in courts of competent jurisdiction in New Delhi.

18. Modifications to the Terms

We may update these Terms by posting a revised version and updating the “Last updated” date. Changes take effect 30 days after posting. Your continued use after that constitutes acceptance.
